Terms and Conditions

THE HOOK UP HALF BIRTHDAY AND BIRTHDAY CERTIFICATE DETAILS

Maximum value of certificate is $20 (excludes alcoholic beverages, tax and gratuity) and is only valid for use by and for recipient. Simply print out the certificate and bring it along with valid photo identification with proof of date of birth (e.g., driver’s license) to any participating RA Sushi location. Restaurants must be able to verify your name, complete date of birth (MM/DD/YYYY) and the certificate’s expiration date. If any of these is NOT provided, RA reserves the right per the terms and conditions of The Hook Up to decline the certificate and requires payment in full. Valid in AZ, CA, FL,  KS,  NY, NV, TX. Certificate may be redeemed Monday – Thursday ONLY, and may not be redeemed on Friday, Saturday or Sunday. This offer cannot be combined with any other offer, promotion or discounted pricing including (but not limited to) Happy Hour and Late Night Happy Hour. Must be 13 years or older as of date of use of Certificate. Certificate valid for dine in only and excludes take-out. Present Certificate to wait staff prior to ordering. Menu items are subject to availability (even if listed on menu, a given item may not be available at a given restaurant location) and vary by restaurant location and region. Menu, including prices, at any restaurant location is subject to change without notice. No substitutions allowed. Please calculate your gratuity on the non-discounted amount. Certificates will be sent approximately 8-10 days before your birthday occurs. You have 29 days from the date the certificate is issued to redeem at your favorite location. If you have not received your birthday certificate by the time your birthday occurs, please contact thehookup@rasushi.com for assistance. Birthday and Half Birthday Certificate must be redeemed by the expiration date posted on the certificate. Offer is nontransferable. Certificate valid for use only be recipient. Blackout dates apply. Not valid for use on Thanksgiving, Christmas, New Years Eve and Valentines Day. If less than $20, no refund or reimbursement will be given; if more than $20, you will be solely responsible for such amount in excess of $20. Certificate not redeemable/exchangeable for cash or credit. You pay sales tax. Limit one Certificate per person, per party. Certificate valid for onetime use only. Void where prohibited.

THE HOOK UP TERMS AND CONDITIONS

Please note that by signing up for this program, you are agreeing to be a member of all programs of Benihana National Corporation and its subsidiaries. Restrictions on Certificate and these Terms constitute Terms & Conditions of offer. Complete date of birth (MM/DD/YYYY), RA Sushi location you most frequently visit, internet access, individual email address and the ability to print Certificate are required. Certificates MUST be printed and presented prior to ordering to be redeemed at participating locations. Limit one “The Hook Up” registration and one Certificate per email address/person. RA Sushi Corp. (Sponsor) is not responsible for lost or deleted Certificates and does not replace Certificates for any reason. Sponsor does not for any reason extend or change expiration dates on certificates. Sponsor is not responsible for any typographical or other error in the printing, the offering or the announcement or administration of offer or “The Hook Up”, whether caused by computer, technical or human error. Printed Certificates must include the first and last name, date of birth, barcode, and expiration date. Employees of Sponsor and their immediate families (defined as parent, child, sibling and spouse) are NOT eligible to participate in offer; but, such persons may register for “The Hook Up.” No group or organization requests will be accepted. Decisions of Sponsor regarding offer (including eligibility, Certificate redemption and interpretation of Terms & Conditions) and “The Hook Up” are final and binding; Sponsor reserves the right to refuse to honor Certificate and require payment of $20 if Sponsor determines in its sole discretion that participant is not in full compliance with Terms & Conditions (including but not limited to Certificate/submission that is illegible, damaged or incomplete). By participating in offer and/or registering for “The Hook Up,” entrants agree to release and hold harmless RA Sushi Corp., its advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers, shareholders and directors, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in offer or “The Hook Up,” including but not limited to use or redemption of Certificate. Sponsor is not responsible for late, lost, damaged, incomplete, illegible, faulty, or incorrect transmissions/Certificates, incorrect announcements of any kind, technical hardware or software failures of any kind, any damage to any person’s computer related to or resulting from submitting information online to receive Certificate or dissemination of Certificate, registration for “The Hook Up,” or lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmission that may limit a user’s ability to participate in offer and/or “The Hook Up” whether caused by computer, technical or human error. Sponsor reserves the right, in its sole discretion, to cancel, terminate, or suspend this offer and/or “The Hook Up” should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the offer and/or “The Hook Up”. And, in such event, Sponsor’s liability shall be limited to those Certificates distributed by Sponsor prior to such action being taken by Sponsor (provided that such Certificates are redeemed in full accordance with Terms & Conditions). Notice of such action by Sponsor will be posted on www.rasushi.com. Sponsor reserves the right to disqualify or prohibit the participation of an individual in offer and/or “The Hook Up” if fraud or tampering is suspected, or if the individual fails to fully comply with any requirement of participation or with any provision in these Terms & Conditions. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE www.rasushi.com INCLUDING BUT NOT LIMITED TO “THE HOOK UP” OR UNDERMINE THE OPERATION OF THIS OFFER AND/OR “THE HOOK UP” IS A VIOLATION OF CRIMINAL & CIVIL LAWS. SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND/OR SEEK DAMAGES FROM ANY INDIVIDUAL MAKING ANY SUCH ATTEMPTS TO THE FULL EXTENT PERMITTED BY LAW.

Any dispute, claim or cause of action arising under this offer, “The Hook Up” or these Terms & Conditions shall be brought in the federal or state courts of Delaware, and such courts shall apply the internal, substantive law of Delaware in adjudicating any such dispute/claim/cause of action. To the fullest extent permitted by law, by participating, you agree (a) to the jurisdiction of such courts; (b) to bring any action individually (NOT as part of a class action); (c) that in any such dispute/claim/cause of action, your recovery shall be limited to actual out-of-pocket costs incurred (if any), with any right to special, indirect, incidental, consequential, punitive or other damages and/or attorneys’ fees being waived.
